These Terms of Use ("Terms") govern your use of the Matly mobile application, website located at gomatly.com, and related services (collectively, the "Services").
Matly is currently operated under the Matly brand pending formal company incorporation ("Matly", "we", "us", or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
The Services are intended only for users who are at least 13 years old. By using the Services, you represent and warrant that you are at least 13 years of age.
The Services are not directed to children under the age of 13.
Matly is a recreational and entertainment platform focused on Brazilian Jiu-Jitsu ("BJJ"). Users may answer daily questions, compare selections against experts and other users, and maintain public-facing profiles.
We may modify, suspend, or discontinue any part of the Services at any time without notice.
Access to certain features requires account registration using a valid email address and magic-link authentication.
You are responsible for maintaining access to your email account, keeping login links confidential, and all activity occurring under your account.
You may not share or transfer your account to another person.
Certain profile information may be publicly viewable if you choose to share your profile.
Shared profile pages may be accessible by anyone with the link, including individuals who are not registered users of the Services.
You are responsible for any information you choose to include in your profile.
You agree not to use the Services unlawfully, interfere with or disrupt the Services, attempt unauthorized access, impersonate another person, scrape or exploit data without permission, use bots or automation tools, reverse engineer the Services, or use the Services in a manner that could damage Matly or other users.
The Services, including all content, software, branding, logos, features, design, graphics, and functionality, are owned by or licensed to Matly and are protected by intellectual property laws.
You may not copy, reproduce, distribute, modify, or create derivative works from the Services without prior written permission.
By submitting any content to the Services (including profile information, votes, gym entries, social links, and other user-generated data), you grant Matly a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, distribute, and process that content as reasonably necessary to operate, improve, and promote the Services.
You retain ownership of your content.
This license terminates with respect to identifiable content when you delete your account, except where retention is required by law or for legitimate business purposes, including anonymized statistics, security logs, backups, fraud prevention, and aggregated analytics.
Certain features of the Services may become paid features, subscriptions, or premium offerings in the future. Additional terms may apply to such features.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
Matly is an evolving platform and certain features may be experimental, incomplete, unavailable, or subject to change without notice.
We do not guarantee uninterrupted availability, accuracy of rankings or statistics, error-free operation, or compatibility with all devices or systems.
To the maximum extent permitted by law, we disclaim all warranties, express or implied.
To the maximum extent permitted by law, Matly and its operators shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services.
Your use of the Services is at your own risk.
You agree to indemnify and hold harmless Matly and its operators from claims, damages, liabilities, losses, or expenses arising from your use of the Services, violation of these Terms, or violation of any law or third-party rights.
You may stop using the Services at any time.
You may delete your account directly through the in-app account deletion functionality. Identifiable account data is generally deleted within 30 days, except where retention is required by law or for legitimate business purposes.

We may suspend or terminate access to the Services at any time if we believe you violated these Terms or used the Services improperly.
Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally.
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in the State of Maryland, United States, except where prohibited by law.
You may opt out of this arbitration agreement by sending written notice to contact@gomatly.com within 30 days of first accepting these Terms.
Notwithstanding this section, either party may bring claims in small claims court or seek injunctive relief relating to intellectual property or unauthorized access claims in any court of competent jurisdiction.
You agree to waive any right to participate in class actions or class-wide arbitration.
These Terms are governed by the laws of the State of Maryland, United States.
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
Our failure to enforce any provision does not waive our right to enforce it later.
